Your utilization of the Services constitutes acceptance of the terms and conditions as amended periodically. We may suspend or cease any aspect of the Services, introduce new features, impose limits on certain features, or restrict access to portions or all of the Services at any time. We will endeavor to provide notice when implementing a significant change to the Services that could impact you negatively, although this may not always be feasible.
You affirm and guarantee to Uniskoool that:
(i) you are at least 18 years old (or, if you are under 18 years old, you have obtained parental consent to utilize the Services, and your parent has read and consented to these General Terms & Conditions on your behalf);
(ii) all information provided during registration is accurate and honest;
(iii) you will uphold the accuracy of such information;
(iv) if you are accepting these General Terms & Conditions on behalf of an organization or entity, you assert and warrant that you possess the authority to accept these General Terms & Conditions on behalf of said organization or entity and to bind them to these General Terms & Conditions (in such cases, references to “you” and “your” in these Terms, except for in this statement, pertain to that organization or entity). Furthermore, you affirm that you have the legal right to utilize and access the Services and acknowledge full responsibility for the selection, utilization, and access to the Services. These General Terms & Conditions shall be nullified in jurisdictions where prohibited by applicable law, and access to the Services is considered rescinded in such jurisdictions.

Network charges
Please be aware that utilizing the Services may result in receiving emails or text messages on your phone or mobile device, potentially leading to usage charges or additional fees in line with your wireless or data service plan. All associated charges, fees, or costs are solely your responsibility. It is advisable to consult with your wireless carrier to ascertain the rates, charges, fees, or costs applicable to your usage of the Services.
Additional terms :
These General Terms & Conditions are applicable to all users of our Services, with specific terms tailored to your user type. If you are a teacher or coach organizing a “class” or “group” of members, you are designated as an organizer. If you fall under the categories of (i) an Organization; (ii) a student or a parent of a student; (iii) a student, teammate, or a parent of a student invited by an Organizer to join a class or group, you are recognized as a partner. In certain instances, partners may have the privilege to invite new members to a “group” to become partnowner themselves. If you are accepting these General Terms & Conditions on behalf of an organization such as a school, coaching center, or club, you are identified as an Organization. It is imperative that you do not register for or utilize the Uniskoool Services under false pretenses; failure to comply may result in the disabling or termination of your account by Uniskoool. Please proceed below to discover the additional terms relevant to you.
If you are a Subscriber:
All subscribers are considered to have read and consented to these General Terms and Conditions. Furthermore, all parents or guardians of Subscribers under the age of 18 are also considered to have read and consented to these General Terms and Conditions.
If you are an Organization (such as a school or coaching class):
You are only permitted to authorize staff members (such as your teachers), who are current employees of your organization, to utilize the Services and generate their own class or group codes with our tech solutions. Upon the termination of employment of any staff member with the Organization, you must ensure that such individual returns and discontinue the use of all class or group codes in their possession. If you become aware at any time of a user claiming affiliation with your organization who is not actually affiliated, you must promptly inform Uniskoool by sending an email to hola@uniskoool.com
Organizers have the authority to invite members by disseminating “class codes” or “group codes” and communicating with Subscribers (in certain instances, there may be multiple Organizers per group). You are only allowed to share class or group codes with Subscribers whom you wish to subscribe to your group. If you intend to widely or publicly distribute these codes, you must diligently manage the accuracy of your subscriber lists.
Organizers are responsible for maintaining and monitoring Subscriber lists to ensure the accurate representation of Subscribers in your group.
Registration and Security :
In order to utilize the Services, you may be required to register with Uniskoool, which entails selecting a password and providing your name along with a valid email address. It is essential that you provide Uniskoool with precise, comprehensive, and up-to-date registration details. You are prohibited from (i) choosing or utilizing the name or email address of another individual with the intention of impersonating that individual, or (ii) employing a name that infringes upon the rights of any person other than yourself without the appropriate authorization. Uniskoool retains the discretion to decline registration or terminate a Uniskoool account at its sole discretion. You are accountable for safeguarding the confidentiality of your account and password. Transferring your account to another party without the express prior written consent of Uniskoool is prohibited. Breaching any of the aforementioned provisions may lead to immediate termination of your account, revocation of your ability to use the Services, and could expose you to legal repercussions. Uniskoool reserves the right, without any obligation, to investigate your usage of the Services to ascertain if there has been a breach of the Agreement, as applicable, and/or these General Terms & Conditions, or to comply with any relevant law, regulation, legal proceeding, or governmental request.
Consent to receive periodic messages and calls from Uniskoool :
As a component of the Services, Uniskoool may transmit communications (such as SMS, calls, emails, and push notifications) to Subscribers of a class/group. For instance, when adding a new Subscriber to a class group, the new Subscriber will receive a welcome SMS message containing their username and password. Additionally, Uniskoool may send other administrative messages. BY REGISTERING FOR THE SERVICES, YOU CONSENT TO RECEIVING COMMUNICATIONS FROM Uniskoool, AND YOU AFFIRM AND WARRANT THAT EACH USER YOU INVITE AND/OR ADD TO A GROUP HAS GIVEN CONSENT TO RECEIVE COMMUNICATIONS FROM Uniskoool, AS WELL AS FROM YOU AND ANY OTHER MEMBER OF THE GROUP. You agree to indemnify and hold Uniskoool harmless against any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys’ fees) arising from or in any way connected to your breach of the aforementioned provision.
Content :
You acknowledge that your utilization of the Services must adhere to Uniskoool’s Guidelines. All materials exhibited, performed, or accessible on the Services (including, but not limited to text, graphics, data, articles, photographs, images, illustrations, User Submissions (defined below), and so forth, collectively referred to as the “Content”) are safeguarded by copyright and other intellectual property laws. You are permitted to utilize the Services solely for your personal, non-commercial use and exclusively in accordance with the provisions of these General Terms & Conditions and/or the Agreement, as applicable, and all applicable laws. Uniskoool holds no responsibility for any unlawful use of the Services on your part. You agree to comply with all copyright notices, trademark regulations, information, and restrictions contained in any Content accessed through the Services. Furthermore, you agree not to utilize, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit any Content or third-party submissions or other proprietary rights not owned by you for any purpose whatsoever: (i) without the explicit prior written consent of the respective owners, and (ii) in any manner that infringes upon the rights of others (including Uniskoool).
You are permitted to download or copy specific Content solely for personal, non-commercial use, on the condition that you uphold all copyright and other notices embedded within such Content. Copying or storing any Content for purposes other than personal, non-commercial use is strictly forbidden without prior written consent from Uniskoool or from the copyright holder acknowledged in the copyright notice of such Content.
You shall not hyperlink to the Services without obtaining prior written consent from Uniskoool, except as permitted by the terms outlined in these General Terms & Conditions. During your use of the Services, both you and other users may furnish information that could be utilized by Uniskoool in connection with the Services and may also be visible to specific other users. Any materials, information, and content that you post or provide to Uniskoool (or in connection with the Services) are considered your “User Submissions.” You retain ownership of any rights you may possess in your User Submissions; however, by providing them, you grant Uniskoool a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and transferable (solely to a successor) right to fully exploit such User Submissions (including all associated Intellectual Property Rights) and to authorize other users to do the same (notwithstanding that Uniskoool will only disclose your personally identifiable information in accordance with Uniskoool’s prevailing Privacy Policy).
Moreover, Uniskoool (along with any other user accessing User Submissions) maintains the right to reformat, alter, generate derivative works from, extract, and translate any User Submissions you submit. You provide other users of the Services with a non-exclusive license to access your User Submissions via the Services, and to exercise rights regarding such User Submissions, including viewing them, as permitted by the functionality of the Services and these General Terms & Conditions (for instance, recipients of a message sent by you will have the ability to save, copy, edit, and store that message). All information posted publicly or transmitted privately through the Services is the sole responsibility of the individual from whom such content originated, and Uniskoool will not be held liable for any errors or omissions in such content. Uniskoool cannot guarantee the identity of any other users with whom you may interact while using the Services. Additionally, Uniskoool cannot assure the authenticity of any data users may provide about themselves. You recognize that accessing any Content via the Services is done at your own risk, and you will bear sole responsibility for any damage or loss incurred by any party as a result.
Uniskoool will not, under any circumstances, be held liable for any Content, including but not limited to any errors or omissions within the Content, or any loss or damage of any nature arising from the use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via the Services.
Intellectual Property Rights :
You acknowledge and consent that Uniskoool shall maintain sole and exclusive ownership of: (i) all products, materials, and concepts owned by Uniskoool or in which Uniskoool holds a proprietary interest indefinitely; (ii) the Services provided herein and delineated in the Agreement; and (iii) all Intellectual Property Rights belonging to Uniskoool. In recognition of the obligations outlined herein and detailed in the Agreement, Uniskoool grants you a limited, non-transferable, non-exclusive, non-sublicensable, worldwide, royalty-free right and license throughout the Term to utilize the Services as specified herein. Except as explicitly agreed upon, nothing herein or in the Agreement transfers ownership of Uniskoool’s Intellectual Property Rights to you. You acknowledge that the provision of Services herein and outlined in the Agreement may incorporate or be accompanied by certain third-party software products or services licensed by the Company. In accordance with the license governing the use of a third-party product, such product shall be subject to its own separate third-party agreements, not governed by these General Terms & Conditions or the Agreement.
Furthermore, you agree that Uniskoool holds full title and ownership in: (a) any feedback, comments, suggestions, ideas, concepts, and changes, along with all associated Intellectual Property Rights provided in relation thereto; and (b) anonymized data collected pursuant to this agreement. Pursuant to the foregoing, Uniskoool, at its sole discretion, may utilize any information or material provided to it under sub-clauses (a) and (b) above to enhance its Services.
If there is any violation or infringement of Intellectual Property Rights, you must promptly inform Uniskoool about such violations, infringements, imitations, simulations, unlawful use, or misuse, providing all relevant details within your knowledge. Uniskoool retains the right to engage in the defense of such legal actions and related proceedings. Deliberate failure or neglect to notify Uniskoool of any Intellectual Property Rights violation or infringement that should have been reported will be considered a significant breach of this agreement. This breach will authorize Uniskoool to unilaterally terminate the provision of Services.
Your restrictions and responsibilities :
You warrant, represent, and agree that you will not utilize/distribute/process any Content or employ (or encourage any third party to use) the Services in a manner that:
Uniskoool reserves the right (though is not obligated) to delete any Content from the Services at any time, for any reason, including but not limited to, upon receipt of claims or allegations from third parties or authorities regarding such Content, or if Uniskoool suspects that you may have violated any provision of these General Terms & Conditions or the Agreement, or for no reason at all. You, and not Uniskoool, remain solely responsible for all Content that you upload, post, email, transmit, or otherwise disseminate using or in connection with the Services. You warrant that you possess all necessary rights to provide such content to Uniskoool and to grant Uniskoool the rights to use such information in connection with the Services and as otherwise provided herein.
You are responsible for acquiring and maintaining any equipment or additional services required to connect to, access, or use the Services, including, but not limited to, modems, hardware, software, and long-distance or local telephone service. You are also responsible for ensuring that such equipment or ancillary services are compatible with the Services. Furthermore, you are responsible for withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activities in connection with the Services.
Third party website :
The Services may include links to third-party websites that are not owned or managed by Uniskoool. When you access these third-party websites, you do so at your own risk. Uniskoool advises you to exercise caution when leaving the Services and to review the Terms and Conditions and Privacy Policy of each third-party website you visit or utilize. Uniskoool has no authority over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices, or opinions expressed on any third-party websites. Furthermore, Uniskoool will not and cannot monitor, verify, censor, or edit the content of any third-party site. By using the services, you explicitly release and absolve Uniskoool from any and all liability arising from your use of any third-party website or service.
Any interactions you have with organizations and/or individuals found on or through the Services, including the payment and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such organizations and/or individuals. It is advisable to conduct any necessary investigations before engaging in any online or offline transactions with these third parties. You agree that Uniskoool will not be responsible or liable for any loss or damage of any kind incurred as a result of such dealings.
In the event of a dispute between users on this platform, or between users and any third party, you acknowledge and agree that Uniskoool is not obligated to intervene. Should you find yourself in a dispute with one or more other users, you hereby release Uniskoool, its officers, employees, agents, and successors from any claims, demands, and damages (both actual and consequential) of any kind or nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising directly or indirectly from such disputes and/or our service.
Warranty and Disclaimer
Uniskoool does not have a special relationship with you nor a fiduciary duty towards you. You understand and acknowledge that Uniskoool has no control over: the users who access the Services; the Content you access through the Services; the impact the Content may have on you; your interpretation or utilization of the Content; or any actions you may take due to exposure to the Content. You waive any claims against Uniskoool related to acquiring or not acquiring Content through the Services. The Services may link to or include websites or content that some may deem offensive or inappropriate. Uniskoool does not vouch for the accuracy, copyright compliance, legality, or decency of any material accessed through the Services and is not liable for such content.
Uniskoool does not guarantee the accuracy or reliability of any suggestions, recommendations, services, or products (including Content from publishers) offered or acquired through the Services. All products and services accessed through the Services are provided “AS IS” without any warranties, unless otherwise specified in writing by a third party for a particular product.
THE SERVICES, PRODUCTS, CONTENT, AND ANY ASSOCIATED SOFTWARE ARE PROVIDED “AS IS,” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AND ERROR-FREE USE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. Uniskoool DOES NOT GUARANTEE ANY SPECIFIC OUTCOMES OR RESULTS FROM THE USE OF THE SERVICES OR PRODUCTS.
Indemnity
You agree to indemnify and hold Uniskoool, its directors, subsidiaries, affiliates, officers, and employees harmless from and against all damages, liabilities, settlements, costs, and legal fees arising from any claims or demands made by third parties due to or arising from your access to the Services, your use of the Services, your violation of these General Terms & Conditions and/or the Agreement, or any infringement of intellectual property or other rights by you or anyone using your account.
WHAT THIS IS SAYING
You are entirely responsible for your usage of Uniskoool’s Services. Failure to adhere to these General Terms of Service and/or the Agreement will result in any losses being borne by you. You will be obligated to indemnify Uniskoool for any damages or losses incurred as a result of your non-compliance, both contractually and legally.
Limitation of Liability
Uniskoool, its suppliers, service providers, and their respective officers, directors, employees, or agents shall not be held liable for any damages related to the Services, the subject matter herein, or the Agreement under any legal theory, including but not limited to contract, negligence, tort, strict liability, or otherwise, even if Uniskoool was or should have been aware of the possibility of such damages.
Our liability is limited as follows:
1.The maximum aggregate liability shall not exceed the greater of INR 1000/- or the fees you paid to Uniskoool during the 12-month period preceding the claim.
2.We shall not be liable for any indirect, incidental, punitive, or consequential damages.
3.We are not responsible for data loss or the cost of procuring substitute goods or services.
4.We shall not be liable for matters beyond Uniskoool’s reasonable control.

Termination
These General Terms & Conditions will remain in effect for the duration of your use of the Services. Subscribers who have registered through this application can terminate their use of the Services or their account by contacting us at hola@uniskoool.com. Uniskoool reserves the right to disable or terminate your access to the Services or your account at any time, for any reason, with or without cause, and without prior notice. This may result in the loss of all data and information associated with your account. Upon termination, your rights to use the Services and any Content will cease immediately; however, Uniskoool may retain certain data, including messaging data, as required by these General Terms & Conditions, for auditing purposes, or as mandated by law.
Provisions of these General Terms & Conditions that logically should survive termination will continue to do so, including ownership provisions, warranty disclaimers, and limitations of liability. In cases where Uniskoool terminates the account for reasons not attributable to the Subscriber, Uniskoool will refund the subscription fee for any unused Services and the price of any paid but undelivered Products (books) to the Subscriber.
Miscellanous
Uniskoool may enlist third parties to provide some or all of the services associated with the Services. (ii) You may not transfer or assign the Agreement and/or these General Terms & Conditions, either by operation of law or otherwise, without the prior written consent of Uniskoool. However, Uniskoool reserves the right to assign its rights and obligations under the Agreement and/or these General Terms & Conditions to its affiliates or subsidiaries, either directly or indirectly. (iii) The parties are considered independent contractors and not agents, representatives, joint venturers, or partners. Neither party has the authority to bind the other to any obligations, commitments, or affirmations with respect to any third party. (iv) Neither party shall be held liable for any failure to perform or delay in performance of its obligations under the Agreement and/or these General Terms & Conditions (excluding payment obligations) due to circumstances beyond its reasonable control, including but not limited to acts of God, governmental actions, terrorist acts, fires, labor disputes, floods, epidemics, pandemics, changes in regulations, war, or riots (each, a “Force Majeure Event”). If such a Force Majeure Event persists for more than sixty (60) days and the parties cannot agree on an extension, either party may choose to terminate the Agreement and/or these General Terms & Conditions immediately. (v) Termination of the Agreement and/or these General Terms & Conditions will not affect provisions that are intended to survive termination by their nature. (vi) If any provision of the Agreement and/or these General Terms & Conditions is deemed illegal, invalid, or unenforceable by a court of law, (a) that provision will be modified to achieve an economic effect as close as possible to the original provision, and (b) the legality, validity, and enforceability of the remaining provisions of the Agreement and/or these General Terms & Conditions will not be affected.
Confidentiality
You acknowledge that during the Term, you (“Recipient”) may come into possession of or gain access to information regarding Uniskoool (“Discloser”). This information may include, but is not limited to, Uniskoool’s technology, customer details, financial data, software, product plans, business operations, trade secrets, third-party business affiliations, and any other information disclosed by Discloser, whether marked as “confidential” or not, or which should reasonably be understood as confidential or proprietary (“Confidential Information”).
Recipient agrees to take reasonable steps to safeguard the confidentiality and secrecy of Discloser’s Confidential Information and to prevent its unauthorized disclosure. Recipient agrees to restrict access to the Confidential Information to authorized employees, advisors, consultants, subcontractors, vendors, agents, and (“Representatives”) who need to know such information for the purpose of performing or receiving the Services as outlined in the Agreement, or for enforcing Recipient’s rights under this Agreement. Such Representatives must be bound by confidentiality obligations consistent with those set forth in this section.
Recipients shall not attempt to reverse engineer or decipher the design or functionality of any of Discloser’s Confidential Information. Recipient has no confidentiality obligations with respect to information that: (i) was already in Recipient’s possession or known to Recipient without any confidentiality obligation prior to receiving it from Disclosure; (ii) becomes publicly available without any breach of this Agreement; (iii) is obtained by Recipient from a third party without any confidentiality obligation; (iv) is independently developed by Recipient without the use of Discloser’s Confidential Information; (v) is disclosed with Discloser’s consent; or (vi) is disclosed pursuant to a valid court order or government agency request, provided that Recipient gives prior written notice to Disclosure and cooperates with Disclosure (at Discloser’s expense) to seek a protective order or other appropriate remedy to prevent the disclosure.
These confidentiality obligations will remain in effect for twelve (12) months following the termination of the Term.
Notices
Any notice required or permitted under these General Terms & Conditions and the Agreement must be in writing and delivered as follows, with the notice considered given as indicated:
(i) If delivered in person, upon actual receipt;
(ii) If sent via overnight courier, upon confirmation of delivery;
(iii) If transmitted by facsimile or email, upon receipt of an acknowledgment of the electronic transmission; or
(iv) If sent by certified or registered mail with return receipt requested, upon confirmation of delivery.
Notices should be sent to the address specified for Uniskoool on the Uniskoool website and, for your address, to the address provided during registration.
Dispute Resolution, Governing Law & Jurisdiction
The laws of India shall govern all matters arising from or relating to these General Terms & Conditions and the Agreement, without regard to any conflict of law principles. Any disputes arising from these terms shall be subject to the jurisdiction of the courts in Delhi. Disputes will be resolved by a single arbitrator appointed by mutual agreement, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The parties will share the arbitration costs as determined by the arbitrator. The arbitration proceedings will take place in Delhi, India, and will be conducted in English.

Typographical Errors
